GENERAL: Symbol will provide to the entity subscribing to the Service (“Subscriber”) access to the Symbol Security SaaS Platform, which shall include its Software and certain monitoring or training services as described in the applicable Service Description. Symbol’s performance is conditional upon Subscriber’s fulfillment of the obligations set forth herein.
1. DEFINITIONS
- “License” means the license to use the Software granted in Section 3.
- “Services” means the Symbol Security SaaS Platform, Software, and any associated training or monitoring services.
- “Software” refers to the application software developed and/or distributed by Symbol.
- “Subscriber Data” means any data, content, or materials uploaded or submitted by Subscriber to the Services.
- “Users” means those employees or contractors authorized by Subscriber to use the Services.
- “Third Party Data” means data obtained by Symbol from public or licensed third-party sources (e.g., reported phishing incidents).
2. ACCEPTANCE & USE OF DATA
- Acceptance: By selecting “ACCEPT” prior to login or by using the Software, Subscriber and its Users agree to be bound by these terms.
- Third Party Data Disclaimer: Subscriber acknowledges that Third Party Data is provided 'AS IS' and Symbol Security expressly disclaims all warranties, express or implied, including accuracy, completeness, or fitness for a particular purpose. Subscriber shall bear sole responsibility for any business or legal decisions made in reliance on such data.
- Sensitive Content: Subscriber shall defend, indemnify, and hold harmless Symbol Security and its affiliates, officers, agents, and employees from any claim, demand, or damages, including reasonable attorneys’ fees, arising out of Subscriber’s or its Users’ access to, use of, or exposure to 'Result Content.
3. LICENSE GRANT & RESTRICTIONS
- Grant: Symbol grants Subscriber a limited, non-exclusive, non-transferable license to use the Services for internal business operations during the term of the subscription.
- Ownership: Subscriber agrees that any feedback, suggestions, or ideas provided by Subscriber or its Users regarding the Services (collectively, 'Feedback') are non-confidential and Symbol Security shall have a perpetual, irrevocable, royalty-free, fully paid-up, worldwide license to use and incorporate such Feedback into its products and services
- Restrictions: Subscriber shall not: (i) copy, modify, or reverse engineer the Software; (ii) use the Services for the benefit of a third party; or (iii) falsely imply sponsorship or association with Symbol.
- Lawful Use: Subscriber shall ensure that its use of the Services and the Subscriber Data complies with all applicable local, state, national, and international laws, regulations, and generally accepted practices in the relevant jurisdictions. Subscriber shall not use the Services for any unlawful purpose.
- Prohibited Content: Subscriber may not use the Services to menace, harass, or violate the privacy rights of any person, or to transmit malicious code (viruses, worms, etc.).
- Export Compliance: Subscriber shall not export, re-export, or transfer the Services or Software, directly or indirectly, to any country, entity, or individual prohibited by United States export laws and regulations, including the U.S. Export Administration Regulations (EAR) and sanctions programs administered by the U.S. Department of Treasury’s Office of Foreign Assets Control (OFAC)
4. DATA SECURITY & INDEMNITY
- Security: Symbol implements reasonable measures to protect Subscriber Data, but Subscriber acknowledges that data transmission occurs over networks not controlled by Symbol.
- Subscriber Responsibility: Subscriber is solely responsible for the legality and accuracy of Subscriber Data and for maintaining the security of User IDs and passwords.
- Indemnity: Subscriber shall defend and indemnify Symbol against any claims arising from Subscriber’s inappropriate use of the Services or Subscriber Data in violation of this Agreement.
5. INTELLECTUAL PROPERTY INDEMNIFICATION
Symbol shall defend Subscriber against third-party claims alleging that Subscriber’s authorized use of the Service infringes a third party’s valid patent or copyright, provided Symbol is given prompt notice and sole control of the defense. This section states Symbol’s entire liability for infringement claims.
6. WARRANTIES & LIMITATIONS
- Limited Warranty: Symbol warrants that the Services will function in substantial compliance with published service descriptions. If a material failure remains uncorrected for 30 days after written notice, Subscriber's sole remedy is to terminate the subscription for a pro-rata refund of pre-paid fees.
- Disclaimers: EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED “AS IS.” SYMBOL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
- Liability Cap: Symbol’s total liability for any claim arising from this Agreement is limited to the fees paid by Subscriber during the 12 months preceding the claim.
Waiver of Certain Damages: IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST REVENUES, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
Governing Law and Venue: This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in Morris County, New Jersey, USA.
